These Terms and Conditions govern the recruitment services provided by Stonesworth Ltd. By engaging with Stonesworth Ltd, submitting candidate information, or using our website, you agree to be bound by these Terms.
These terms apply to both clients seeking recruitment services and candidates seeking employment opportunities.
1. Definitions
1.1 Agency
“Agency” refers to Stonesworth Ltd.
1.2 Client
“Client” refers to any company, organisation, or business that engages Stonesworth Ltd to assist in sourcing or recruiting candidates.
1.3 Candidate
“Candidate” refers to any individual whose CV, personal information, or employment details are submitted to Stonesworth Ltd for recruitment purposes.
1.4 Candidate Submission
A Candidate Submission occurs when Stonesworth Ltd provides a Client with a Candidate’s details, including CV, profile, or other information.
1.5 Engagement or Hire
“Hired” or “Engagement” means any form of employment or engagement including but not limited to:
permanent employment
fixed-term employment
contract work
consultancy work
freelance engagement
2. Recruitment Services
2.1
Stonesworth Ltd provides recruitment services including sourcing, screening, and presenting candidates to clients.
2.2
Stonesworth Ltd acts as an intermediary between Clients and Candidates.
2.3
The final hiring decision remains entirely the responsibility of the Client.
3. Candidate Terms
3.1 Accuracy of Information
Candidates must ensure that all information provided to Stonesworth Ltd is accurate and truthful.
3.2 Consent to Share Information
By submitting a CV or application to Stonesworth Ltd, Candidates consent to their details being shared with potential employers for recruitment purposes.
3.3 Misrepresentation
Stonesworth Ltd reserves the right to withdraw Candidates from recruitment processes where inaccurate or misleading information is discovered.
3.4 Employment Offers
Stonesworth Ltd does not guarantee employment or job offers.
4. Client Responsibilities
4.1 Accurate Role Information
Clients must provide accurate job descriptions, salary information, and role requirements.
4.2 Legal Compliance
Clients must comply with all applicable employment laws and regulations.
4.3 Confidentiality of Candidate Information
Candidate information supplied by Stonesworth Ltd must be treated as confidential and must not be shared with third parties without written permission.
5. Recruitment Fees
5.1
A recruitment fee shall only become payable to Stonesworth Ltd if a Candidate submitted by Stonesworth Ltd is successfully hired or engaged by the Client.
5.2
A Candidate is considered submitted once Stonesworth Ltd has shared the Candidate’s CV, profile, or details with the Client.
5.3
A recruitment fee will become payable if the Candidate is hired by the Client within 12 months of the Candidate Submission.
5.4
The recruitment fee is payable regardless of whether the Candidate is hired for the original role discussed or for another position within the Client’s organisation.
6. Circumvention Protection
6.1
Clients must not attempt to avoid recruitment fees by engaging Candidates directly after a Candidate Submission.
6.2
If a Candidate submitted by Stonesworth Ltd is hired by:
the Client
a subsidiary company
a parent company
an affiliated or associated organisation
within 12 months, the recruitment fee remains payable.
7. Candidate Sharing
7.1
Clients must not forward, distribute, or disclose candidate details provided by Stonesworth Ltd to third parties without written permission.
7.2
If a Candidate is hired by a third party after the Client shares the Candidate’s information, the Client remains liable for the recruitment fee.
8. Payment Terms
8.1
All invoices issued by Stonesworth Ltd are payable within 14 days of the invoice date unless otherwise agreed in writing.
8.2 Late Payments
Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.
8.3 Recovery Costs
Stonesworth Ltd reserves the right to recover any reasonable costs associated with debt recovery.
9. Guarantee Period
9.1
Where agreed in writing, a guarantee or replacement period may apply.
9.2
If a Candidate leaves employment within an agreed guarantee period, Stonesworth Ltd may offer a replacement candidate or partial fee adjustment at its discretion.
10. Data Protection
10.1
Stonesworth Ltd processes personal data in accordance with UK GDPR and the Data Protection Act 2018.
10.2
Candidate and client information will be used solely for recruitment purposes.

11. Limitation of Liability
11.1
Stonesworth Ltd shall not be liable for employment decisions made by Clients.
11.2
Stonesworth Ltd shall not be responsible for candidate performance or employment disputes between Clients and Candidates.
11.3
To the extent permitted by law, Stonesworth Ltd excludes liability for indirect or consequential losses arising from recruitment services.
12. Website Use
12.1
Users must not misuse the Stonesworth Ltd website or attempt to gain unauthorised access to systems.
12.2
Stonesworth Ltd reserves the right to suspend or restrict access where misuse is detected.
13. Termination
13.1
Stonesworth Ltd reserves the right to suspend or terminate services where these Terms and Conditions are breached.
14. Changes to Terms
14.1
Stonesworth Ltd may update these Terms and Conditions at any time.
14.2
Updated versions will be published on the website.
15. Governing Law
These Terms and Conditions are governed by the laws of England and Wales.
Any disputes shall be subject to the jurisdiction of the courts of England and Wales.
